This is the most common path: a new LLC, general business, paying W-2 employees and 1099 contractors. Adding a location, forming a corporation, or in a licensed industry? Customize it and check off steps as you go.

Popular Illinois business types:

Step 1

Set up the business with the state

Do this first. The state tax and payroll accounts ask for your registration details.

Get a federal EIN

Apply free on the IRS website and get the number immediately. You'll need it for the state tax registration, a business bank account, and payroll. Opening a new location? You already have one; the same EIN works in every state.

FederalFreeIRS: Get an EIN

Sign an operating agreement

This internal document sets out who owns what, how decisions get made, and what happens if an owner leaves. It isn't filed with the state, but banks often ask for it, and it helps protect your liability shield. Single-owner LLCs need one too.

Every state

Open a business bank account

Bring your EIN letter, filed formation documents, and operating agreement or bylaws. Keeping business and personal money separate is one of the main things that protects your personal assets.

Every state

Check industry licenses and permits

Many businesses need a license or permit before opening, separate from registering the company. Check three levels: the state licensing board for your field, your city or county, and any federal agency that regulates your industry.

  • Trades and construction: general contractors, electricians, plumbers, HVAC and roofers usually need a state or local license, and often a bond
  • Personal services: salons, barbers, nail and esthetics shops need a shop license plus licensed staff; massage and tattoo studios are licensed too
  • Professional services: accounting, engineering, architecture, law, real estate and insurance require state licenses for the people and sometimes the firm
  • Child care, elder care and home care need a state facility or agency license and background checks
  • Retail with restricted products: alcohol, tobacco and vape, cannabis, firearms (federal FFL), pawn and secondhand dealers
  • Auto, transport and logistics: auto dealers and repair shops, towing, movers, and trucks that need a USDOT number
  • Money and finance: lenders, mortgage brokers, debt collectors and money transmitters are licensed by the state, often through NMLS
  • Local permits for almost everyone: city business license or tax registration, zoning or home occupation permit, sign permit and fire inspection

Decide on S corp tax treatment (optional)

If you want S corp taxation, file IRS Form 2553. The deadline is tight: generally within 2 months and 15 days after the start of the tax year you want it to apply. See Business basics for when it makes sense.

Form your LLC with the state

File Articles of Organization (or the state's equivalent) online through Secretary of State online filing (Business Services).

Name a Illinois registered agent

You need a registered agent with a street address in Illinois to receive legal papers and state notices. Use a registered agent service if you have no one local.

IL

Register a trade name (DBA) if you use a different name

LLCs and corporations file assumed names with the Secretary of State. Sole proprietors and partnerships file with the county clerk.

ILIf it applies$120 for an LLC or corporation assumed name filed in 2026 (prorated by year; $150 renewal)

Know Illinois's formation rules

LLCs with series pay $400 instead of $150. Corporations also owe Illinois franchise tax with their initial and annual filings.

IL
Step 2

Register for state taxes

Register with Department of Revenue / IDES

Register for withholding and sales tax with the Department of Revenue through MyTax Illinois. Register for unemployment insurance with IDES (also through MyTax Illinois) within 30 days of starting.

  • Employees complete Form IL-W-4 (flat 4.95% rate; $2,925 per basic allowance in 2026) for state withholding
  • Illinois has state and local sales taxes (Retailers' Occupation Tax). Register through MyTax Illinois.

Check local taxes and business licenses

No city or county income tax. Chicago and suburban Cook County set their own minimum wage and paid leave rules, and many cities require a local business license.

IL

Register with IDES within 30 days

New businesses with employees must register with IDES within 30 days of starting. Use MyTax Illinois or Form REG-UI-1.

Step 5

Collect sales tax

Applies if you sell products, or services this state taxes. Most medical care is exempt. See Business basics for sales tax.

Register to collect sales tax

Illinois calls it a Certificate of Registration (Retailers' Occupation Tax). Register with the Illinois Department of Revenue through MyTax Illinois (Form REG-1) before you make your first taxable sale in Illinois. You'll collect tax from customers and send it to the state.

  • State rate: 6.25%
  • Local taxes: Cities, counties and transit districts add local tax on top of the state rate, and remote retailers collect at the buyer's destination rate. Use the MyTax Illinois Tax Rate Finder to look up rates.
  • Renews automatically for one more year each year, unless the department notifies you otherwise.
  • Illinois generally does not tax services, but tangible items transferred as part of a service are taxed under the Service Occupation Tax.

Buy items you resell tax-free with a resale certificate

Give your supplier Form CRT-61, Certificate of Resale so you don't pay tax on inventory you'll resell. The buyer must have an active Illinois account ID (or an out-of-state resale certificate), and blanket certificates should be updated at least every 3 years; sellers keep them at least 3.5 years. Keep certificates your own customers give you, too.

  • Accepts the MTC Uniform Sales and Use Tax Resale Certificate

Selling into Illinois from another state? Watch the threshold

Out-of-state sellers must register once sales into Illinois pass $100,000 (rolling 12-month lookback, checked each quarter), even with no office here.

  • The 200-transaction test was repealed effective January 1, 2026; only $100,000 in cumulative gross receipts counts now. Sellers who met only the transaction test had to stop collecting on January 1, 2026 if under $100,000.
  • Marketplace facilitators that meet the $100,000 threshold must collect and remit Retailers' Occupation Tax on sales they make for third-party sellers.

Note this Illinois sales tax rule

Effective January 1, 2026, the 1% state tax on groceries ended, but cities and counties may impose their own 1% local grocery tax. Also from 2026, sales reported without required location info may be taxed at a 15% undetermined-location rate.

IL
Step 6

Before your first payroll

Applies once you pay W-2 employees who work in this state.

Complete Form I-9 and W-4 for each hire

Form I-9 is never mailed to the government. You keep it in your own files and show it only if ICE or the Department of Labor asks for an inspection.

  • The employee completes Section 1 by their first day of work
  • You review their original documents and complete Section 2 within 3 business days of the start date
  • Keep it for 3 years after the hire date or 1 year after employment ends, whichever is later
  • Store I-9s together, separate from personnel files, so an inspection doesn't expose other records
  • Remote hire? Have an authorized representative check documents in person, or, if you use E-Verify, use the DHS remote video inspection option
  • Also collect a federal W-4 for withholding

Post federal workplace notices

Federal posters (minimum wage, EEO, FMLA if you have 50+ employees, and others) go alongside the state ones.

Register for unemployment insurance with IDES

Register once you pay wages to employees working in Illinois. Reports and payments are usually quarterly.

  • 2026 new employer rate: 3.35%
  • Taxable wage base: $14,250
  • New employers in NAICS 56 pay 3.45%. 2026 rates run 0.75% to 7.05%, including a 0.55% fund building rate. File UI-3/40 quarterly; employers with 25+ employees file electronically and also send monthly wage reports.

Buy workers' compensation insurance

Required at Most employers, regardless of size. No state fund. Buy a policy from a private insurer or get IWCC approval to self-insure.

Report each new hire

Report within 20 days of the first day on payroll. IDES asks employers to report independent contractors too. Report online, by mail or fax.

Check income tax reciprocity

Iowa, Kentucky, Michigan and Wisconsin residents can be exempt from Illinois withholding by giving Form IL-W-5-NR.

IL

Follow Illinois pay timing rules

Illinois's wage payment rules:

  • Pay frequency: At least semi-monthly (executive, administrative and professional staff may be paid monthly).
  • Final pay: By separation if possible, and no later than the next regular payday (fired or quit). Earned, unused vacation must be paid out.
  • Overtime: 1.5x pay over 40 hours a week. No daily overtime.
  • Youth under 18 working under 650 hours a year may be paid $13.00. Give employees an itemized pay statement each payday.

Pay at least Illinois minimum wage

$15.00 an hour.

  • Tipped employees: $9.00
  • Local rates: Chicago: $17.05, tipped $12.96 (employers with 4+ employees, from July 1, 2026). Suburban Cook County: $15.40, tipped $9.25 (from July 1, 2026; many suburbs opted out).
  • Coming up: No statewide increase scheduled for 2027. Chicago and Cook County adjust each July 1; 2027 amounts not yet announced.

Set up required sick leave

Paid Leave for All Workers Act: employers of any size give 1 hour of paid leave per 40 hours worked, up to 40 hours a year, usable for any reason after 90 days.

  • Front-loading 40 hours is allowed
  • Accrued leave carries over; front-loaded leave does not
  • No payout at separation unless part of a vacation/PTO bank
  • Chicago and Cook County employers follow local ordinances instead

Register for My Illinois Savings (formerly Illinois Secure Choice) or certify an exemption

Employers with 5+ Illinois employees in every quarter of the prior year, in business 2+ years, with no qualified plan must offer a plan or register. Penalty: $250 per employee the first year, $500 per employee each later year.

Provide required harassment prevention training

All employers must give every Illinois employee sexual harassment prevention training each year. Restaurants and bars need extra training. IDHR offers a free model.

IL

Post Illinois workplace notices

Display the state's required labor law posters where employees can see them, along with the federal posters. Workers' comp notices come from your carrier.

ILFree

Check city and county sick leave laws

These local laws apply to employees who work within the city or county, on top of the state rules. Where they differ, follow whichever is more generous to the employee.

  • Chicago: All employers with 1+ employee in Chicago; employees who work 80+ hours in any 120-day period in Chicago; 1 hour per 35 hours worked for each of two banks: Paid Leave (any reason) and Paid Sick and Safe Leave; cap 40 hours per year of Paid Leave plus 40 hours per year of Paid Sick and Safe Leave; carryover up to 16 hours (Paid Leave) and 80 hours (Paid Sick Leave).
  • Cook County: All employers in unincorporated Cook County and in municipalities that have not opted out; excludes Chicago; employees who work 2+ hours in a two-week period; 1 hour per 40 hours worked, or front-load 40 hours; cap 40 hours of use per 12-month period; carryover cap may not be less than 40 hours.
IL
Step 7

Paying 1099 contractors

Collect a W-9 before the first payment

The W-9 gives you the contractor's legal name and tax ID for their 1099. Check the classification first: if you control how and when they work, they may legally be an employee.

Send Form 1099-NEC to contractors

File with the IRS and send the contractor a copy by January 31. For payments made in 2026 and later, the reporting threshold is $2,000 per contractor per year (it was $600 before).

Step 8

Stay in good standing

Recurring deadlines. Put these on your calendar now.

Skip the FinCEN BOI report (U.S. companies are exempt)

FinCEN's final rule, effective August 14, 2026, permanently exempts companies formed in the U.S. from beneficial ownership reporting. Ignore letters or emails demanding a BOI filing fee; they're a common scam. Only companies formed outside the U.S. still file.

Follow Chicago or Cook County leave rules

Employers in Chicago or suburban Cook County follow local paid leave ordinances instead of the state act. Chicago revised its Paid Leave and Paid Sick and Safe Leave rules effective June 1, 2026.

  • Post the local minimum wage and paid leave notices
  • Give Chicago employees the annual notice with the first paycheck after July 1

The Department of Revenue enforces the retirement mandate. You have 120 days after a proposed penalty notice to comply or ask for a hearing.

File the Annual Report

Keeps your business in good standing with the state. Missing it can lead to penalties or dissolution.

Know your state business taxes

Corporations pay Illinois franchise tax based on paid-in capital, reported with the annual report. Pass-through entities owe the Personal Property Replacement Income Tax.

IL

File quarterly unemployment reports and withholding returns

File unemployment wage reports each quarter and state withholding returns on the schedule you're assigned (if the state has income tax), plus the annual W-2 reconciliation.

ILQuarterly

File sales tax returns on time

Returns (Form ST-1) are generally monthly, due the 20th of the next month; the state may allow quarterly filing if average monthly tax is $200 or less, or annual if $50 or less (due January 20). File a zero return if you had no sales; skipping it can bring penalties.
