Popular Nebraska business types:

Step 1

Set up the business with the state

Do this first. The state tax and payroll accounts ask for your registration details.

Get a federal EIN

Apply free on the IRS website and get the number immediately. You'll need it for the state tax registration, a business bank account, and payroll. Opening a new location? You already have one; the same EIN works in every state.

FederalFreeIRS: Get an EIN

Sign an operating agreement

This internal document sets out who owns what, how decisions get made, and what happens if an owner leaves. It isn't filed with the state, but banks often ask for it, and it helps protect your liability shield. Single-owner LLCs need one too.

Every state

Open a business bank account

Bring your EIN letter, filed formation documents, and operating agreement or bylaws. Keeping business and personal money separate is one of the main things that protects your personal assets.

Every state

Check industry licenses and permits

Many businesses need a license or permit before opening, separate from registering the company. Check three levels: the state licensing board for your field, your city or county, and any federal agency that regulates your industry.

  • Trades and construction: general contractors, electricians, plumbers, HVAC and roofers usually need a state or local license, and often a bond
  • Personal services: salons, barbers, nail and esthetics shops need a shop license plus licensed staff; massage and tattoo studios are licensed too
  • Professional services: accounting, engineering, architecture, law, real estate and insurance require state licenses for the people and sometimes the firm
  • Child care, elder care and home care need a state facility or agency license and background checks
  • Retail with restricted products: alcohol, tobacco and vape, cannabis, firearms (federal FFL), pawn and secondhand dealers
  • Auto, transport and logistics: auto dealers and repair shops, towing, movers, and trucks that need a USDOT number
  • Money and finance: lenders, mortgage brokers, debt collectors and money transmitters are licensed by the state, often through NMLS
  • Local permits for almost everyone: city business license or tax registration, zoning or home occupation permit, sign permit and fire inspection

Decide on S corp tax treatment (optional)

If you want S corp taxation, file IRS Form 2553. The deadline is tight: generally within 2 months and 15 days after the start of the tax year you want it to apply. See Business basics for when it makes sense.

Form your LLC with the state

File Articles of Organization (or the state's equivalent) online through Nebraska Secretary of State online filing (Nebraska.gov).

Name a Nebraska registered agent

You need a registered agent with a street address in Nebraska to receive legal papers and state notices. Use a registered agent service if you have no one local.

NE

Register a trade name (DBA) if you use a different name

Trade names are registered with the Secretary of State. Renewal costs $110.

Know Nebraska's formation rules

New LLCs and corporations must publish a notice in a local newspaper for 3 consecutive weeks, then file proof of publication ($25 online, $30 in office).

NE

Publish your formation notice

After forming an LLC or corporation, publish a notice for 3 consecutive weeks in a newspaper in your county. Then file the publisher's affidavit with the Secretary of State.

  • Proof of publication filing: $25 online, $30 in office
  • Newspaper costs vary
Step 2

Register for state taxes

Register with Department of Revenue

Register online for sales tax and income tax withholding, or file the paper Nebraska Tax Application (Form 20). A federal EIN is required for withholding. Paper takes about 2 weeks.

  • Employees complete Form Form W-4N for state withholding
  • Nebraska has a state sales tax plus local sales taxes. Display the sales tax permit at each retail location.

Check local taxes and business licenses

Cities can add local sales tax and some levy occupation taxes on certain businesses. Nebraska has no general state business license.

NE
Step 5

Collect sales tax

Applies if you sell products, or services this state taxes. Most medical care is exempt. See Business basics for sales tax.

Register to collect sales tax

Nebraska calls it a Sales Tax Permit. Register with the Nebraska Department of Revenue through Nebraska Tax Application (Form 20), or online business registration; multistate sellers can also use the Streamlined Sales Tax registration system before you make your first taxable sale in Nebraska. You'll collect tax from customers and send it to the state.

  • State rate: 5.5%
  • Local taxes: Cities, villages and some counties add 0.5% to 2%, so most combined rates top out at 7.5%. Omaha and Gretna also have Good Life Districts with a special 2.75% local tax.
  • No renewal. A new permit is needed if ownership or form of ownership changes.
  • Services are generally not taxed, but Nebraska taxes a list of specific services such as pest control, building cleaning, security, detective, towing and repair or installation labor on taxable items. Web page design and hosting are generally not taxed.

Buy items you resell tax-free with a resale certificate

Give your supplier Form 13, Nebraska Resale or Exempt Sale Certificate so you don't pay tax on inventory you'll resell. The buyer fills it out and gives it to the seller with a Nebraska sales tax ID (or a home state number if out of state); a blanket certificate stays valid until the buyer revokes it in writing. Keep certificates your own customers give you, too.

  • Accepts the Streamlined Sales Tax multistate certificate
  • Accepts the MTC Uniform Sales and Use Tax Resale Certificate

Selling into Nebraska from another state? Watch the threshold

Out-of-state sellers must register once sales into Nebraska pass $100,000 or 200 transactions (previous or current calendar year), even with no office here.

  • Retail sales count (all sales other than for resale), including sales made through a marketplace. Collection must start by the first day of the second month after a threshold is passed.
  • Marketplace facilitators such as Amazon and Etsy that pass the same $100,000 or 200 transaction test must collect for third-party sellers; sellers still report those sales on their return and deduct them.

Note this Nebraska sales tax rule

Nebraska charges no fee for permits or resale certificates and warns that websites selling them for a fee are likely scams.

NE
Step 6

Before your first payroll

Applies once you pay W-2 employees who work in this state.

Complete Form I-9 and W-4 for each hire

Form I-9 is never mailed to the government. You keep it in your own files and show it only if ICE or the Department of Labor asks for an inspection.

  • The employee completes Section 1 by their first day of work
  • You review their original documents and complete Section 2 within 3 business days of the start date
  • Keep it for 3 years after the hire date or 1 year after employment ends, whichever is later
  • Store I-9s together, separate from personnel files, so an inspection doesn't expose other records
  • Remote hire? Have an authorized representative check documents in person, or, if you use E-Verify, use the DHS remote video inspection option
  • Also collect a federal W-4 for withholding

Post federal workplace notices

Federal posters (minimum wage, EEO, FMLA if you have 50+ employees, and others) go alongside the state ones.

Register for unemployment insurance with Nebraska Department of Labor

Register once you pay wages to employees working in Nebraska. Reports and payments are usually quarterly.

  • 2026 new employer rate: 1.25% (5.4% for construction)
  • Taxable wage base: $9,000
  • 2026 experienced rates range from 0% to 5.4%. A higher $24,000 wage base applies to some employers (reported as the highest rate category). Employees do not pay UI tax.
NE

Buy workers' compensation insurance

Required at 1 or more employees. Agricultural employers with 10 or fewer unrelated full-time workers are exempt. Sole proprietors, partners and LLC members are not covered unless they elect it. Penalty is up to $1,000 per day without coverage.

Report each new hire

Report new hires, rehires, temporary and seasonal workers, and independent contractors through ne-newhire.com.

Follow Nebraska pay timing rules

Nebraska's wage payment rules:

  • Pay frequency: On regular paydays set in advance, at least every 18 days or twice a month (Neb. Rev. Stat. 48-1228).
  • Final pay: Fired or quit: due by the next regular payday or within 2 weeks, whichever is sooner (48-1230).
  • Overtime: 1.5x after 40 hours per week under federal law.
  • Paid sick time available, used and paid must appear on each pay stub or an online system. Unused combined PTO must be paid out at separation.

Pay at least Nebraska minimum wage

$15.00 an hour.

  • Tipped employees: $2.13 cash wage (tips must bring total to $15.00)
  • Coming up: LB 258 (effective July 17, 2026) replaced CPI indexing with a 1.75% raise each January 1, starting 2027 (about $15.26 on Jan 1, 2027). It also allows a $13.50 youth wage for ages 14-15 and a $13.50 training wage for ages 16-19 (first 90 days), rising 1.5% on Jan 1, 2027.

Set up required sick leave

Since October 1, 2025, employers with 11 or more employees must give paid sick time. Employees earn 1 hour per 30 worked, starting after 80 hours of work.

  • 11-19 employees: up to 40 hours a year
  • 20 or more employees: up to 56 hours a year
  • Employers with 10 or fewer employees are exempt (LB 415, 2025)
  • Unused time carries over (or pay it out at year end); no payout at separation for sick-only time
  • Count only workers with 80+ hours in Nebraska in the calendar year
  • Give written notice at hire and post the NDOL poster

Retirement plan: no state mandate

Nebraska has no state retirement savings mandate for private employers.

NEIf it applies

Adopt a harassment policy (training recommended)

Nebraska doesn't require harassment training for private employers. A written policy and a yearly refresher are still best practice.

NEIf it applies

Post Nebraska workplace notices

Display the state's required labor law posters where employees can see them, along with the federal posters. Workers' comp notices come from your carrier.

NEFree

Set up paid sick time at 11 employees

Once you have 11 or more employees with 80+ hours in Nebraska in a year, you must provide paid sick time and track it on pay stubs. Existing PTO policies that meet the minimum count.

Watch 2026 labor law changes

LB 921 (2026) requires 90 days' notice to employees and NDOL before a closing or mass layoff affecting 100 or more full-time employees. LB 847 lets NDOL charge yearly graduated fees on employers based on prior-year gross wages.

Step 7

Paying 1099 contractors

Collect a W-9 before the first payment

The W-9 gives you the contractor's legal name and tax ID for their 1099. Check the classification first: if you control how and when they work, they may legally be an employee.

Send Form 1099-NEC to contractors

File with the IRS and send the contractor a copy by January 31. For payments made in 2026 and later, the reporting threshold is $2,000 per contractor per year (it was $600 before).

FederalDue Jan 31
Step 8

Stay in good standing

Recurring deadlines. Put these on your calendar now.

Skip the FinCEN BOI report (U.S. companies are exempt)

FinCEN's final rule, effective August 14, 2026, permanently exempts companies formed in the U.S. from beneficial ownership reporting. Ignore letters or emails demanding a BOI filing fee; they're a common scam. Only companies formed outside the U.S. still file.

Decide on the Excess Liability Fund

Joining the Hospital-Medical Liability Act is voluntary. Qualified providers get the $2,250,000 total damages cap but must carry the minimum coverage and pay the Fund surcharge.

  • Minimum coverage: $800,000 per occurrence for policies issued or renewed from January 1, 2025

File the Biennial Report

Keeps your business in good standing with the state. Missing it can lead to penalties or dissolution.

NELLCs: April 1 of odd-numbered years (delinquent June 1). Corporations: March 1 of even-numbered years (delinquent April 15).LLCs: $25 online, $30 paper. Corporations: occupation tax based on paid-in capital is paid with the report.

Know your state business taxes

Corporations pay a biennial occupation tax with the report. Entities that miss the delinquent date are administratively dissolved; late reinstatement costs $500.

NE

File quarterly unemployment reports and withholding returns

File unemployment wage reports each quarter and state withholding returns on the schedule you're assigned (if the state has income tax), plus the annual W-2 reconciliation.

NEQuarterly

File sales tax returns on time

The Department assigns monthly, quarterly or annual filing based on how much tax you collect; returns (Form 10) are due the 20th of the month after the period. File a zero return if you had no sales; skipping it can bring penalties.
